1. Introduction

These Terms of Service ("Terms") apply to all agreements between Tri-Snap Healthcare, Inc. ("Grey," "we," "our," or "us") and you, our customer ("you" or "Customer"). You are only allowed to use Grey's services if you accept these Terms.

2. Services

Grey provides ambient AI software, applications, and integrations designed to help healthcare professionals with intelligent medical documentation. The Services may include:

AI Features:

• Ambient observation and understanding of clinical environments
• Automated transcription and documentation generation
• Medical terminology recognition and coding suggestions
• Visual and audio processing for comprehensive documentation

Platform Access:

• Desktop application for Windows and macOS
• Mobile apps for iOS and Android (companion apps)
• Local API for EHR integrations
• Offline-first architecture with optional cloud sync

Service Quality:

While we strive to deliver accurate AI-generated outputs, various factors—such as audio clarity, visual conditions, and system resources—can impact results. You acknowledge that:

• No Guaranteed Accuracy: AI-generated content may contain errors, omissions, or other inaccuracies.
• Independent Verification: You are responsible for verifying the correctness of any AI outputs before relying on them.
• Professional Use Only: Grey is intended for licensed healthcare professionals only.

3. User Responsibilities

• Account Security: You must maintain the confidentiality of your login credentials and promptly notify us of any unauthorized access
• Lawful Conduct: You agree to use the Services in compliance with all applicable laws and regulations, including HIPAA
• Professional Standards: You will maintain professional medical documentation standards
• Prohibited Misuse: You may not circumvent usage controls, reverse engineer the software, or use the Services for non-medical purposes

Consequences: Any misuse or abuse of the Services can result in immediate suspension or termination of your account.

4. Account and Service Area

• Eligibility: You must be a licensed healthcare professional at least 18 years old to create an account
• Account Information: All registration details you provide must be truthful, current, and accurate
• Geographic Considerations: Grey seeks to support users globally, but availability may vary by location
• No Liability for Unauthorized Use: Grey is not responsible for losses from unauthorized access if you fail to secure your account

5. Pricing

Subscription and Fees:

• Professional Plan: $399/month billed monthly or $3,999/year billed annually
• Practice Plan: $319/month per provider (minimum 3 providers), billed annually
• Enterprise: Custom pricing based on organization needs

Renewals: Subscriptions renew automatically unless canceled prior to the renewal date.

Free Trial: 14-day free trial available for new users. Regular fees apply after trial period.

Taxes: You may be responsible for any taxes or additional charges associated with your location.

6. Privacy

We handle your personal information in accordance with our Privacy Policy, which explains how we collect, use, and protect your data.

• Consent and Control: You can choose between Private Mode (local-only) or Help Improve Grey mode
• Security Measures: We use AES-256 encryption and maintain HIPAA compliance
• Data Ownership: You retain full ownership of all medical documentation and patient data

8. Limitations of Liability

To the fullest extent permitted by law:

• No Special Damages: Grey is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages
• Service Interruptions: We assume no responsibility for damages from service downtime or errors in AI outputs
• Maximum Liability: Our total liability is limited to the amount paid for Services in the preceding twelve (12) months, or $100, whichever is greater

Some jurisdictions do not allow such limitations, so some or all of these limitations may not apply to you.

9. Modifications

Grey may revise these Terms at any time to reflect changes in our Services, legal requirements, or business practices. If we make significant modifications:

• Notice: We will notify you in advance by email or by posting a prominent notice in the app
• Acceptance: Continued use after revised Terms become effective constitutes acceptance

10. Termination

• User Cancellation: You may cancel your account at any time through settings or by contacting support
• Suspension by Grey: We reserve the right to suspend or terminate accounts for Terms violations
• Effect of Termination: Upon termination, you remain responsible for fees incurred and retain access to exported data

11. Dispute Resolution

• Informal Resolution: Contact us first at legal@grey.health to resolve disputes in good faith
• Arbitration: If informal efforts fail, disputes will be resolved through binding arbitration
• No Class Actions: You agree to resolve disputes individually, not as part of any class action

We reserve the right, at any time and in our sole discretion, to:

• Alter Features: Change, update, or remove functionalities
• Suspend Service: Temporarily or permanently suspend parts of the Services
• Restrict Access: Limit access for security or compliance reasons
• Update Eligibility: Change requirements for using the Services

13. Compliance with Healthcare Laws

You are responsible for ensuring your use of Grey complies with all applicable healthcare laws and regulations:

• HIPAA: Health Insurance Portability and Accountability Act (United States)
• GDPR: General Data Protection Regulation (European Union)
• State Laws: Local medical practice and privacy regulations
• Professional Standards: Medical licensing and documentation requirements

14. Indemnification

You agree to indemnify and hold harmless Tri-Snap Healthcare from any claims arising from:

• Your use of the Services
• Your medical practice and clinical decisions
• Violation of these Terms
• Infringement of third-party rights
• Breach of patient confidentiality

15. Final Provisions

• Governing Law: These Terms are governed by the laws of California, excluding conflict-of-law provisions
• Severability: If any provision is deemed invalid, remaining provisions remain in full effect
• No Waiver: Failure to enforce any right does not constitute a waiver
• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement
